Supplier Terms

These Supplier Terms govern how suppliers use Freshio to list products, respond to buy requests, accept customer demand, fulfill orders, and receive payout information.

1. Supplier role and acceptance

These terms apply to any business using Freshio as a supplier. By creating or using a supplier account, listing products, sending offers, or fulfilling orders, you agree to these terms.

2. Eligibility and business information

  • You must provide accurate business information, including legal company name, organisation number, address, and contact details.
  • You are responsible for ensuring that you are legally permitted to sell the products you list and to operate your business as required by applicable law.
  • You must keep payout and bank details accurate.

3. Listings, stock, and pricing

  • You are responsible for the accuracy of product descriptions, prices, available quantities, quality information, and any images you upload.
  • You must not publish misleading, unlawful, or unavailable products.
  • You must keep stock levels reasonably current and avoid accepting demand you cannot fulfill.

4. Buy requests and supplier offers

  • You may respond to customer buy requests with structured offers.
  • Offers should accurately reflect quantity, unit price, delivery fee, delivery timing, and any material conditions.
  • You are responsible for the commercial accuracy of offers you submit.

5. Accepted orders and fulfillment

  • If a customer accepts your offer or places an order for your listed product, you are responsible for timely and proper fulfillment.
  • You must prepare goods consistent with the order, cooperate with delivery partners where applicable, and update platform workflow accurately.
  • You must not mark goods as ready, collected, or handed over in a misleading way.

6. Platform fees and payout handling

  • Freshio may charge supplier commissions, minimum platform fees, or other fees clearly disclosed in the platform or supplier agreement.
  • Payout calculations shown in Freshio are informational unless otherwise expressly agreed.
  • Freshio may withhold or adjust payout processing where required for complaints, fraud review, legal obligations, refunds, or reconciliation.

7. Customer communication and complaints

You must communicate professionally with customers and platform staff. If a complaint, order issue, or dispute arises, you must cooperate in good faith and provide relevant information needed for resolution.

8. Reviews and reputation content

Customers may review suppliers after completed orders. Freshio may display supplier ratings and review summaries inside the platform. We may moderate content that is unlawful, abusive, irrelevant, or clearly misleading.

9. Prohibited conduct

  • No fraudulent listings, false claims, price manipulation, spam, or abusive behavior.
  • No use of the platform in a way that damages other users, platform trust, or legal compliance.
  • No attempts to interfere with platform security or payment integrity.

10. Suspension and termination

Freshio may suspend, restrict, or terminate supplier access where there is misuse, fraud risk, repeated fulfillment failure, serious customer complaints, legal concerns, or non-compliance with platform rules.

11. Liability and platform role

Freshio operates the marketplace infrastructure but does not assume the supplier’s legal responsibilities for product quality, legality, labeling, tax, or commercial performance. You remain responsible for your business operations and compliance obligations.
